  • Attempt to gain unauthorised access to any part of the website or its systems
  • Transmit any malicious code, viruses, or harmful content

3. Intellectual Property

Consulting deliverables created during engagements are subject to the intellectual property terms defined in the applicable SOW or engagement letter. Unless otherwise agreed in writing, methodologies, frameworks, and proprietary tools remain the property of Key Kapital Global.

4. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of an engagement. This obligation survives the termination of any engagement for a period of two (2) years, unless a longer period is specified in the applicable agreement.

5. Limitation of Liability

Our consulting services are provided on an advisory basis. While we strive to deliver the highest quality guidance:

  • We do not guarantee specific business outcomes or results
  • Our liability is limited to the fees paid for the specific engagement giving rise to the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not responsible for decisions made by your organisation based on our recommendations

6. Disclaimer of Warranties

Our website and its content are provided "as is" without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

Our consulting advice is based on information available at the time of the engagement and does not constitute legal, tax, or financial advice unless explicitly stated.

7. Payment Terms

Payment terms for consulting engagements are specified in the applicable SOW or engagement letter. Unless otherwise agreed:

  • Invoices are payable within 30 days of the invoice date
  • Late payments may incur interest at the rate of 2% per month
  • We reserve the right to suspend services for overdue accounts

8. Termination

Either party may terminate an engagement in accordance with the terms specified in the applicable SOW or engagement letter. In the absence of such terms, either party may terminate with 30 days' written notice. Upon termination, fees for work completed up to the termination date remain payable.

9. Indemnification

You agree to indemnify and hold harmless Key Kapital Global, its directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our website or breach of these Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of our website after any changes constitutes acceptance of the revised Terms.
